- Engage in any activity that places an unreasonable or disproportionately large load on our infrastructure;

- Violate any applicable local, state, national, or international law or regulation.
Any violation of these prohibited activities may result in immediate termination of your account and access to our services, and may be reported to appropriate law enforcement authorities. Wings Over reserves the right to cooperate fully with any law enforcement investigation or court order requesting or directing us to disclose the identity of anyone engaging in prohibited activities.
5. Ordering, Payment Terms, and Pricing
5.1 Order Placement
When you place an order through our Site, you are making an offer to purchase the items in your cart at the stated price. Wings Over reserves the right to accept or decline any order for any reason, including but not limited to unavailability of items, errors in pricing or product descriptions, or suspected fraud. Your order is confirmed only when you receive a written confirmation (via email or on-screen notification) from Wings Over.
5.2 Pricing and Availability
All prices displayed on the Site are in United States Dollars (USD) and are subject to change without notice. Prices do not include applicable sales taxes or delivery fees unless otherwise stated. We make every effort to ensure that prices listed on the Site are accurate; however, if a pricing error occurs, we reserve the right to cancel the affected order and notify you accordingly.
5.3 Payment
We accept payment through credit cards, debit cards, and such other payment methods as may be made available on the Site from time to time. By providing payment information, you represent and warrant that:

You are responsible for all applicable federal, state, and local taxes associated with your purchase. Sales tax will be calculated and applied to your order in accordance with the tax laws applicable to the delivery or pickup location.
5.5 Refunds and Cancellations
Due to the perishable nature of food products, all sales are generally final. If you experience an issue with your order (such as incorrect items, missing items, or quality concerns), please contact us promptly at [email protected]. We will evaluate each situation on a case-by-case basis and, at our sole discretion, may offer a refund, store credit, or replacement order. Cancellations may only be accepted before an order has entered the preparation stage. Once food preparation has begun, cancellations and refunds may not be available.
6. Delivery and Pickup
Wings Over offers delivery and/or pickup services depending on your location and the options available at the time of your order. Estimated delivery and pickup times are provided as a courtesy and are not guaranteed. Delivery times may be affected by factors outside our control, including but not limited to traffic conditions, weather, and volume of orders. Wings Over is not liable for any delays in delivery beyond our reasonable control.
Delivery is available only within designated service areas. If your address falls outside our delivery zone, you will be notified during the checkout process. Wings Over reserves the right to modify or discontinue delivery service to any area at any time.
For pickup orders, you are responsible for collecting your order within a reasonable time after being notified that it is ready. Wings Over is not responsible for food quality if pickup is delayed beyond the designated pickup window due to the customer's failure to collect the order in a timely manner.
7. Intellectual Property Rights
All content, materials, and intellectual property on the Site, including but not limited to text, graphics, logos, photographs, images, audio clips, video content, digital downloads, data compilations, and software, are the exclusive property of Wings Over or its content suppliers and are protected by applicable United States copyright, trademark, trade dress, patent, and other intellectual property laws.
The Wings Over name, logo, and all related product and service names, design marks, and slogans are trademarks or service marks of Wings Over. You are not permitted to use any such marks without the prior written consent of Wings Over. All other trademarks, service marks, and logos used on the Site are the property of their respective owners.
You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Site solely for personal, non-commercial purposes related to placing food orders and using our services. This license does not include the right to:
- Reproduce, duplicate, copy, sell, resell, or exploit any portion of the Site;
- Modify or create derivative works based on the Site or its content;

If you submit reviews, comments, feedback, suggestions, photographs, or other content to the Site or through any affiliated social media platforms ("User Content"), you grant Wings Over a non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such User Content worldwide in any media.
You represent and warrant that you own or control all rights to the User Content you submit, that the User Content is accurate, that use of the User Content does not violate these Terms or applicable law, and that the User Content will not cause injury to any person or entity.
Wings Over reserves the right (but not the obligation) to remove, edit, or refuse to post any User Content at our sole discretion, including content that we determine to be harmful, offensive, defamatory, or otherwise in violation of these Terms or applicable law.
9. Disclaimers and "As-Is" Basis
THE SITE AND ALL SERVICES PROVIDED BY WINGS OVER ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WINGS OVER EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
- IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT;
- WARRANTIES THAT THE SITE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS;
- WARRANTIES REGARDING THE ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF ANY CONTENT, INFORMATION, OR MATERIALS ON THE SITE;
- WARRANTIES THAT ANY ERRORS OR DEFECTS IN THE SITE WILL BE CORRECTED.
Wings Over does not warrant or guarantee that food items will be free from allergens unless explicitly stated. It is the customer's responsibility to review ingredient and allergen information and to communicate any dietary restrictions or food allergies when placing an order. Wings Over shall not be liable for any allergic reactions or adverse health effects arising from the consumption of our products.
Nutritional information, calorie counts, and ingredient lists provided on the Site are estimates and may vary based on preparation methods, ingredient substitutions, and supplier changes. Such information should not be relied upon for medical purposes.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE FEDERAL AND STATE LAW, IN NO EVENT SHALL WINGS OVER, ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, CONTRACTORS, SUPPLIERS, OR SERVICE PROVIDERS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY:
- INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES;
- LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES;
- PERSONAL INJURY OR PROPERTY DAMAGE ARISING FROM YOUR USE OF OR INABILITY TO USE THE SITE OR OUR SERVICES;
- ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS AND/OR ANY PERSONAL INFORMATION STORED THEREIN;
- ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SITE;
- ANY BUGS, VIRUSES, OR OTHER HARMFUL CODE TRANSMITTED TO OR THROUGH THE SITE BY ANY THIRD PARTY.
IN ALL CASES, WINGS OVER'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF OUR SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT PAID BY YOU TO WINGS OVER DURING THE THREE (3) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00).
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU IN FULL. IN SUCH CASES, OUR LIABILITY WILL BE LIMITED TO THE GREATEST EXTENT PERMITTED BY APPLICABLE LAW.
11. Indemnification
You agree to defend, indemnify, and hold harmless Wings Over and its respective owners, officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, losses, liabilities, judgments, penalties, fines, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or relating to:
- Your use of or access to the Site or our services;
- Your violation of any provision of these Terms;
- Your violation of any applicable law, rule, or regulation;
- Your violation of any rights of a third party, including intellectual property rights, privacy rights, or proprietary rights;
- Any User Content submitted by you;
- Your willful misconduct, negligence, or fraud.
Wings Over reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate fully with Wings Over in asserting any available defenses. You shall not settle any claim or proceeding without Wings Over's prior written consent.
12. Governing Law and Jurisdiction
These Terms of Service and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the United States of America and the applicable laws of the state in which Wings Over is registered and operates, without regard to its conflict of law provisions.
Subject to the Dispute Resolution section below, you agree to submit to the exclusive personal jurisdiction of the federal and state courts located within the applicable state of Wings Over's principal place of business for the resolution of any disputes not subject to arbitration. You hereby waive any objection to the laying of venue of any such proceeding in such courts and waive any objection that such courts are an inconvenient forum.
Our services are intended for use within the United States. Wings Over makes no representation that the Site or its content is appropriate or available for use in locations outside the United States. If you access the Site from outside the United States, you do so at your own risk and are responsible for compliance with local laws.
These Terms are also subject to applicable federal laws of the United States, including the Federal Trade Commission Act (FTC Act), 15 U.S.C. § 41 et seq., governing unfair or deceptive trade practices. 13. Dispute Resolution and Arbitration
13.1 Informal Resolution

The parties agree to use good faith efforts to resolve the dispute informally within thirty (30) days of receipt of the written notice. If the dispute is not resolved within this period, either party may proceed to formal dispute resolution as outlined below.
13.2 Binding Arbitration
EXCEPT FOR CLAIMS THAT QUALIFY FOR SMALL CLAIMS COURT OR SEEK INJUNCTIVE OR OTHER EQUITABLE RELIEF FOR THE ALLEGED UNLAWFUL USE OF INTELLECTUAL PROPERTY, ANY DISPUTE, CONTROVERSY, OR CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE BREACH, TERMINATION, OR VALIDITY THEREOF SHALL BE SETTLED BY BINDING ARBITRATION ADMINISTERED BY THE AMERICAN ARBITRATION ASSOCIATION ("AAA") IN ACCORDANCE WITH ITS CONSUMER ARBITRATION RULES THEN IN EFFECT.
The arbitration shall be conducted in the English language. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. The costs of arbitration shall be allocated in accordance with the AAA's Consumer Arbitration Rules. Each party shall bear its own attorneys' fees unless the arbitrator determines that a party's claim or defense was frivolous or brought for an improper purpose.
13.3 Class Action Waiver
YOU AND WINGS OVER EACH AGREE THAT ANY ARBITRATION OR OTHER LEGAL PROCEEDING SHALL BE CONDUCTED SOLELY ON AN INDIVIDUAL BASIS. NEITHER YOU NOR WINGS OVER SHALL SEEK TO HAVE ANY DISPUTE HEARD AS A CLASS ACTION, PRIVATE ATTORNEY GENERAL ACTION, OR IN ANY OTHER PROCEEDING IN WHICH EITHER PARTY ACTS OR PROPOSES TO ACT IN A REPRESENTATIVE CAPACITY. NO ARBITRATION OR LEGAL PROCEEDING SHALL BE JOINED WITH ANY OTHER ARBITRATION OR LEGAL PROCEEDING WITHOUT THE PRIOR WRITTEN CONSENT OF ALL PARTIES TO ALL AFFECTED PROCEEDINGS.
13.4 Opt-Out Right
You have the right to opt out of binding arbitration by sending written notice to Wings Over at [email protected] within thirty (30) days of first accepting these Terms. Your notice must include your name, mailing address, and a clear statement that you wish to opt out of arbitration. If you opt out, any disputes will be resolved in accordance with Section 12 (Governing Law and Jurisdiction).
14. Term and Termination
These Terms shall remain in full force and effect for as long as you access or use the Site or our services. Wings Over reserves the right, in its sole discretion, to:
- Terminate or suspend your account and access to the Site at any time, with or without notice, for any reason, including violation of these Terms;
- Discontinue all or any part of the Site or services at any time;
- Modify, restrict, or disable certain features or functions of the Site.
You may terminate your account at any time by contacting us at [email protected] and requesting account deletion. Termination of your account will not relieve you of any obligations incurred prior to termination, including payment obligations for orders placed before termination.

17. Food Safety, Allergen Information, and Health Disclaimers
Wings Over takes food safety seriously and complies with applicable federal and state food safety regulations, including standards set by the U.S. Food and Drug Administration (FDA) and applicable state and local health authorities. 18. Severability

The invalidity, illegality, or unenforceability of any provision shall not affect the validity or enforceability of any other provision of these Terms, and the remaining provisions shall continue in full force and effect.
The parties agree that any court or arbitrator should endeavor to give maximum effect to the intent of the parties as reflected in any provision found to be invalid or unenforceable, and to limit the scope of any modification or severance to only what is strictly necessary to render the provision enforceable.
19. Entire Agreement and Waiver
These Terms, together with our Privacy Policy and any other policies or agreements referenced herein, constitute the entire agreement between you and Wings Over with respect to the subject matter hereof and supersede all prior and contemporaneous agreements, understandings, negotiations, and discussions, whether oral or written, between you and Wings Over relating to such subject matter.

Any failure of Wings Over to assert a right or provision under these Terms shall not constitute a waiver of such right or provision. 20. Force Majeure
Wings Over shall not be liable for any failure or delay in performance of its obligations under these Terms to the extent such failure or delay is caused by events beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, epidemics, government regulations or actions, labor strikes or disputes, power outages, cyberattacks, internet disruptions, fire, flood, terrorism, or civil unrest ("Force Majeure Events").
In the event of a Force Majeure Event, Wings Over will use commercially reasonable efforts to resume normal operations as quickly as possible and will notify affected customers where practicable.
